Terms of Service

Welcome to Restii. These Terms of Service ("Terms") govern your access to and use of the Restii QR ordering platform and related services (collectively, the "Service") operated by Restii ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Description of Service

Restii provides a QR code-based ordering platform that allows restaurant guests to view menus and place orders directly from their mobile devices. Our Service facilitates communication between guests and restaurant staff but does not directly provide food service or handle payments.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Use of the Service

For Guests

As a guest using our Service to place orders at a participating restaurant:

• You agree to provide accurate order information
• You understand that orders are placed directly with the restaurant, not with Restii
• You acknowledge that menu availability, pricing, and fulfillment are the responsibility of the restaurant
• You agree to be present at the restaurant when placing orders through our Service

For Restaurant Partners

As a restaurant partner using our Service:

• You are responsible for the accuracy of your menu information
• You agree to fulfill orders received through the Service in a timely manner
• You are responsible for food safety, preparation, and service
• You maintain responsibility for all customer payments and transactions
• You agree to keep your account credentials secure

4. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Submit false, misleading, or fraudulent orders
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to transmit any malware, viruses, or harmful code
• Scrape, copy, or harvest data from the Service without permission
• Impersonate any person or entity
• Use the Service in any way that could damage, disable, or impair the Service

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Restii and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

Restaurant partners retain ownership of their menu content, logos, and branding materials uploaded to the Service.

6. User Content

You may submit content to the Service, such as menu items, descriptions, and images ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating the Service.

You represent that you own or have the necessary rights to submit User Content and that it does not violate any third party's rights.

7. Third-Party Services

Our Service may contain links to or integrate with third-party websites, services, or resources. We are not responsible for the availability, content, or practices of such third parties. Your interactions with third-party services are governed by their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, completeness, or reliability of any content or information provided through the Service.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RESTII SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

RESTII IS NOT RESPONSIBLE FOR:

• The quality, safety, or accuracy of food prepared by restaurants
• Order fulfillment, delays, or errors by restaurant partners
• Payment disputes between guests and restaurants
• Any health-related issues arising from food consumption

10. Indemnification

You agree to indemnify, defend, and hold harmless Restii and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

Restaurant partners may terminate their accounts by contacting us. We may retain certain information as required by law or for legitimate business purposes.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, either party may pursue resolution through binding arbitration or small claims court.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Restii regarding the Service and supersede all prior agreements and understandings.

17. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative.
